This local draft describes the proposed private-notebook migration. It
has not been published and does not replace the currently effective
Terms.
These Terms of Service ("Terms") are an agreement between you and Joe
Saia, the New Jersey-based operator of Mix Stamp ("Mix Stamp," "we,"
"us," or "our"). They govern your access to mixstamp.com and the Mix
Stamp web and iOS applications (together, the "Service").
01. Accepting these Terms
By creating an account, accessing, or using the Service, you agree
to these Terms and acknowledge our
Privacy Policy. If you do not agree, do
not use the Service. If you use the Service for an organization or
another person, you represent that you have authority to bind them,
and "you" includes them.
The public marketing website may be viewed without an account. The
remaining Service requires an account and these Terms. We recommend
saving or printing a copy for your records.
02. Eligibility and responsible use
You must be at least 18 years old and legally capable of entering a
binding agreement to create an account. Alcohol-related content is
intended only for people who have reached the legal drinking age in
their location. Do not use the Service to purchase, prepare, serve,
or consume alcohol unlawfully or unsafely.
Mix Stamp is a record-keeping tool, not medical, health,
nutritional, legal, or professional advice. Recipes may contain
allergens, alcohol, or inaccurate measurements. You are responsible
for checking ingredients, strength, serving sizes, allergies,
interactions, and applicable laws; drinking responsibly; and never
driving or operating machinery while impaired.
03. Accounts and security
You agree to provide accurate account information, keep it current,
protect your devices, authentication methods, session credentials,
and backup files, and promptly tell us about suspected unauthorized
access. You are responsible for activity through your account unless
applicable law provides otherwise.
Authentication is provided through WorkOS and may involve another
sign-in provider. Their separate terms govern the accounts and
authentication services they control. You may not transfer, sell, or
lend your Mix Stamp account or impersonate another person.
Deleting your Mix Stamp account deletes your private notebook, your
authentication identity, and your migration linkage. This is
irreversible. The Mix Stamp-managed WorkOS user record is deleted;
your independent Apple or Google account is not. Deletion does not
erase independent private copies belonging to other accounts or
recall exported files. Archived originals and recovery records are
handled as described in the Privacy Policy and section 6 below.
04. License to use Mix Stamp
Subject to these Terms, we grant you a limited, personal,
non-exclusive, non-transferable, non-sublicensable, and revocable
license to access and use the Service for lawful personal purposes.
We reserve all rights not expressly granted.
If you obtain the iOS app through Apple's App Store, Apple's
Standard Licensed Application End User License Agreement
governs your license to the installed app to the extent applicable;
these Terms govern your Mix Stamp account, the online Service, your
content, and your relationship with us. You must also comply with
applicable App Store usage rules.
05. Your content
"Your Content" means recipes, ingredients, directions, notes,
favorites, drink history, source information, notebook names, and
other material you submit or import. As between you and Mix Stamp,
you retain whatever ownership rights you have in Your Content.
You give us a worldwide, non-exclusive, royalty-free license to
host, store, reproduce, format, transmit, display, and otherwise use
Your Content only as needed to operate, secure, troubleshoot, and
improve the Service; follow your instructions; carry out the
private-notebook migration described below; and comply with law.
This license allows us to make technical copies and maintain
independent copies of previously accessible content for the accounts
that received them. It ends when Your Content is deleted from our
systems, except for content or copies retained as described in the
Privacy Policy or as required by law.
You represent that you have the rights needed to submit Your Content
and grant this license, and that doing so does not violate law or
another person's rights. Do not enter private or sensitive
information about someone else without permission. Source labels and
links do not replace any permission required to copy protected
expression. Facts, ingredient lists, and procedures may receive
different legal protection than creative descriptions; you are
responsible for what you copy or share.
06. Private notebooks and migration
Each account has one private notebook. There are no invitations,
members, shared editing, ownership transfers, book switching, or
separate book-deletion controls. You can edit your recipes, use
backups, and delete your account, but cannot administer another
person's notebook.
Migration consolidates independent copies of everything your account
previously could access into your private notebook, retaining all
recipe content, notes, favorites, drink history, and preset import
receipts. Old sharing ends. Copies in different accounts are
independent, like imported backups: subsequent edits or account
deletion by a former author do not change or erase content in
another recipient's private notebook. Having a copy does not
transfer the original author's intellectual-property rights to you.
Archived original notebooks and journals are inaccessible recovery
records, retained until no affected account remains and subject to
legacy contributor erasure cleanup. Account deletion removes your
migration linkage and applies that cleanup to archived originals,
not other accounts' independent private copies. Exported files
cannot be recalled.
07. Backups, synchronization, and data loss
The Service synchronizes notebook data across authorized clients,
but synchronization can be delayed, interrupted, or conflict with
changes made in another session of your account. Unsaved web drafts
are not durable or available offline. The iOS app can retain pending
local changes; conflicts keep the first server-accepted change and
discard the rejected edit and dependent local changes. Unconfirmed
saves retry the same request rather than silently discarding it.
Export your private notebook regularly and verify your backup files.
An exported backup excludes membership and actor identifiers. An
import can replace all recipe content in your private notebook;
imported preset catalogs cannot be undone in bulk. You are
responsible for selecting the correct file, conflict choice, and
storage destination, and for protecting exported copies.
Recipe deletions, account erasure, backup imports, and conflict
decisions can be permanent. Read each confirmation carefully. We do
not promise that any deleted or overwritten data can be recovered.
access another person's account or notebook without authorization,
or defeat access controls;
probe, scan, or test vulnerabilities; introduce malware; disrupt
the Service; or impose an unreasonable load;
scrape, harvest, or use automated means to access the Service
except with our written permission or as allowed by law;
reverse engineer, decompile, copy, modify, resell, sublicense, or
create derivative works from the Service except where applicable
law or an open-source license expressly permits it;
use the Service or its output to develop or train a competing
product, dataset, or machine-learning model; or
misrepresent affiliation with Mix Stamp or another person.
We may investigate suspected misuse and preserve or disclose
information as permitted by the Privacy Policy and applicable law.
09. Third-party services and content
The Service relies on third parties such as WorkOS, Cloudflare,
Sentry, and Apple and may link to recipe sources or other websites.
Third parties are responsible for their own services, content,
availability, security, and terms. A link, attribution, or preset
inclusion does not imply our endorsement, ownership, or
verification.
Preset catalogs and attributed recipes are provided for reference
and may contain errors or change at the source. Brand names belong
to their respective owners. Review the original source and exercise
your own judgment before relying on any recipe or other third-party
material.
10. Our intellectual property and feedback
Except for Your Content and identified third-party material, Mix
Stamp and its software, design, text, graphics, compilation, and
branding are owned by us or our licensors and protected by
intellectual-property laws. "Mix Stamp" and related branding may not
be used without permission.
If you voluntarily send ideas or feedback, you grant us a perpetual,
worldwide, non-exclusive, irrevocable, royalty-free, transferable,
and sublicensable license to use it without restriction or
compensation. Do not submit feedback you expect us to keep
confidential.
To report claimed infringement, email
joe@saiaai.dev with your contact
information, identification of the work and material involved, its
location in the Service, the basis for your claim, and any other
information required by applicable law.
11. Service changes, suspension, and termination
Mix Stamp is an evolving service. We may add, change, suspend,
limit, or discontinue features or the Service. When reasonably
possible, we will provide notice of a material discontinuation and
an opportunity to export your private notebook, but emergencies,
legal requirements, security risks, or provider failures may prevent
advance notice.
You may stop using the Service at any time. You can erase your
account without a separate notebook-management step. We may suspend
or terminate access if you materially or repeatedly violate these
Terms, create risk or legal exposure, or if needed to protect the
Service or others. Where appropriate, we will provide notice and a
reasonable opportunity to cure or export content.
On termination, your license to use the Service ends. Provisions
that by their nature should survive will survive, including content
licenses for lawfully retained copies, ownership, feedback,
disclaimers, liability limits, dispute terms, and accrued rights.
We may revise these Terms. We will post the updated version and
effective date and provide legally required notice of material
changes. If a change materially reduces your rights or increases
your obligations, it will apply prospectively after notice. Your
continued use after the effective date means you accept the revised
Terms; if you do not agree, stop using the Service and erase your
account.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RECIPES,
PRESETS, CONTENT, AND FEATURES ARE PROVIDED "AS IS" AND "AS
AVAILABLE." WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES,
INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE
SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT
DATA WILL NEVER BE LOST, ALTERED, OR ACCESSED WITHOUT AUTHORIZATION.
Some jurisdictions do not allow certain warranty exclusions, so some
of the above may not apply to you. Nothing in these Terms excludes a
warranty or consumer right that cannot lawfully be excluded.
13. Limits on liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIX STAMP AND ITS OPERATOR,
LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR FOR LOST DATA, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITIES,
ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH
DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL
CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE
GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12
MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100.
These limitations allocate risk between you and us and apply
regardless of the theory of liability. They do not limit liability
that cannot lawfully be limited, such as liability for intentional
misconduct where applicable law forbids that limitation. Your local
law may give you additional rights.
14. General terms and contact
These Terms and the Privacy Policy are the entire agreement between
you and us about the Service, except for terms that expressly apply
through a third-party platform. If a provision is unenforceable, it
will be enforced to the maximum extent permitted and the remaining
provisions remain in effect. Our failure to enforce a provision is
not a waiver. You may not assign these Terms without our written
consent; we may assign them in connection with a reorganization,
financing, merger, acquisition, or sale of the Service. There are no
third-party beneficiaries except as expressly provided by applicable
App Store terms.
New Jersey law governs these Terms, without regard to
conflict-of-law rules, except to the extent the law where you live
requires otherwise. Any dispute may be brought in the state or
federal courts located in or serving Essex County, New Jersey, and
you and we consent to their jurisdiction, unless applicable law
gives you the right to bring it elsewhere. These Terms do not
require arbitration or waive any right to a jury trial or class
proceeding.
Before filing a claim, we encourage you to contact us and describe
the problem so we can try to resolve it informally. This does not
extend a legal deadline or prevent either party from seeking urgent
relief.
